medium scale RE financing [RE-wrenches]

Hopefully Michael doesn't chastise me for this as it might be better suited 
for the Markets list....

We're working on the formation of an LLC to serve as a community based 
financing entity.  The primary focus is to provide the benefits of the tax 
credit and depreciation to non-profits and municipal sties and thus allow 
installations to enjoy full economic value.

The difference between what we're doing and what has already been 
done(i.e.SunEdison) is that ours would be small.  This is to not trigger SEC 
and other onerous (read: expensive) legal requirements that would kill all 
but much larger sized organizations.  In my veiw, the template for the LLC 
should be made "open source" as it really doesn't have much value held in 
the individual community.  To that extent, I'm wondering if anyone has any 
experience with this that they would be willing to share.
